Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. You must be at least 16 years old, and of legal age to form a binding contract, to use the Service.

2. Description of Service

GME AI is a production-grade AI workspace that provides autonomous AI agents, multi-step workflow orchestration, conversational chat, a knowledge base, video projects, and related tooling, with multilingual support. The Service is provided on an ongoing, evolving basis: we may add, change, or remove features, models, and capabilities from time to time. Some features depend on third-party providers and on optional integrations you choose to connect.

3. Accounts & Registration

• You must provide accurate account information (such as your name and email address) and keep it current.
• You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your sign-in credentials and any access tokens.
• You must promptly notify us at security@gme-ai.com of any unauthorized use of your account or any other suspected security breach.
• You may not share your account, sell access to it, or allow others to use it in violation of these Terms.

4. Acceptable Use

You agree to use the Service lawfully and responsibly. You will not, and will not permit anyone else to:

• Abuse the Service — interfere with, disrupt, overload, or impair the integrity or performance of the Service or its underlying infrastructure, or attempt to gain unauthorized access to any account, system, or data.
• Use it illegally — use the Service for any unlawful, fraudulent, infringing, or harmful purpose, or to generate or distribute malware, spam, or content that is illegal, hateful, or that violates the rights of others.
• Reverse engineer — decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code, models, or underlying algorithms of the Service, except to the extent this restriction is prohibited by applicable law.
• Scrape or bulk-extract — use automated means (bots, crawlers, scrapers) to access, harvest, or copy the Service or its content beyond what our published interfaces permit, or circumvent any rate limits, usage limits, or access controls.
• Resell, sublicense, or provide the Service to third parties except as expressly permitted, or remove or obscure any proprietary notices.

We may suspend or limit access to investigate suspected violations and to protect the Service and other users.

5. Subscriptions, Billing & Refunds

The Service offers a free tier and paid memberships. Current published plans are $10 per month or $100 per year (save 17%), as set out on our Pricing page, along with optional add-ons such as additional agents, inference tokens (iTokens), and custom Agent Trainer services. Pricing on the Pricing page governs in case of any inconsistency.

Renewals

• Paid memberships are subscriptions that renew automatically at the end of each billing period (monthly or annually) at the then-current price, unless you cancel before the renewal date.
• Annual memberships are paid upfront for twelve (12) months.

Cancellation

• You may cancel at any time from within the Service. For monthly plans, cancellation takes effect at the end of the current period; for annual plans, it takes effect at the next renewal. You retain access to paid features until the end of the period you have already paid for.

Refunds & taxes

• Except where required by law, payments are non-refundable and there are no refunds or credits for partial periods, unused capacity, or unused iTokens.
• Fees are exclusive of taxes; you are responsible for any applicable taxes, levies, or duties.
• Payment is handled by our payment processor. If a payment fails, we may suspend or downgrade paid features until the amount due is settled.

6. User Content & License

You own your content. As between you and GME AI, you retain all rights to the prompts, files, documents, knowledge-base material, and other content you submit to the Service ("User Content"), and to the output generated for you.

• License to operate the Service. You grant GME AI a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and otherwise use your User Content solely as necessary to provide, secure, maintain, and improve the Service for you. We do not use your User Content or connected-account data to train generalized AI/ML models. This is consistent with our Privacy Policy.
• AI-generated output. The Service uses AI models to generate output. Given the nature of machine learning, output may be inaccurate, incomplete, or not unique to you, and similar output may be generated for other users. You are responsible for reviewing and verifying output before relying on it, and for ensuring your use of output complies with applicable law and third-party rights.
• Your responsibilities. You represent that you have the necessary rights to your User Content and that it does not violate these Terms or any law or third-party right.

7. Third-Party Services

The Service may integrate with third-party services that you choose to connect, including Google APIs (for example, your Google profile and Gmail sending). Your use of such integrations is also subject to the third party's own terms. How we handle data accessed through Google APIs — including the Google API Services User Data Policy and its Limited Use requirements — is described in our Privacy Policy. We are not responsible for third-party services, and your dealings with them are at your own risk.

8. Intellectual Property

The Service, including its software, models, design, text, graphics, logos, and the "GME AI" and "GME" marks, is owned by GME AI and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal or personal use during your subscription. No rights are granted except as expressly stated. If you send us feedback or suggestions, we may use them without restriction or obligation to you.

10. Limitation of Liability

To the maximum extent permitted by law, GME AI and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless GME AI and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, or your breach of these Terms or violation of any law or third-party right.

12. Termination

• You may stop using the Service and close your account at any time.
• We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users; where reasonable, we will give notice.
• On termination, your right to use the Service ends. Sections that by their nature should survive — including content ownership, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive. Data handling on closure is described in our Privacy Policy.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules. The courts of Singapore will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that jurisdiction and venue, except that we may seek injunctive relief in any competent court to protect our intellectual property or the Service. You and GME AI will first try in good faith to resolve any dispute informally by contacting us at hello@gme-ai.com.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date and, where appropriate, notified to you in the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, stop using the Service.
